Introduction & Acceptance of Terms
Welcome to SMH Stay Solutions Inc. ("SMH," "we," "us," or "our"). These Terms of Service and Offer Agreement ("Agreement") govern your access to and use of our short-term rental booking services for properties and vehicles (collectively, "Services").
By accessing or using our Services, you ("User," "you," or "your") signify your full and binding acceptance of this Agreement. If you do not agree with any part of these terms, you must not use our Services.

This Agreement constitutes a legally binding offer from SMH Stay Solutions Inc., a Delaware C-Corporation, to provide Services under the terms outlined herein.
Your continued use of the Services constitutes ongoing acceptance of this Agreement and any future amendments posted to our website.
Booking Process & User Responsibilities

Property Rentals
Browse available properties, view details, check availability, and submit booking requests through our platform. All requests are subject to availability and final confirmation by SMH.

Vehicle Rentals
Browse our vehicle fleet, view specifications, confirm availability, and initiate bookings. All vehicle bookings require final SMH confirmation before becoming binding.

Accurate Information
You agree to provide accurate, current, and complete personal, contact, and payment information. You are solely responsible for maintaining account confidentiality.

Responsible Use
All rented properties and vehicles must be used in accordance with applicable laws, regulations, and SMH-specific guidelines. Misuse or damage may result in additional charges.
Detailed Invoicing & Fees
Upon booking confirmation, SMH will issue a comprehensive invoice itemizing all applicable charges. All fees are subject to change without prior notice, though changes will never affect already-confirmed bookings. Taxes are calculated based on the jurisdiction of the rental.

Payment Terms
Accepted Payment Methods
Visa, MasterCard, American Express, Discover, and other methods listed on our platform.
Payment Schedule
Full payment or a deposit is due at booking. Remaining balances are due by a specified date prior to rental commencement, as detailed in your confirmation.
Late Payments
Failure to pay on time may result in booking cancellation and applicable late fees per our cancellation policy.
Payment Authorization
By submitting payment details, you authorize SMH to charge your selected method for all applicable fees and charges.
Cancellation & Modification Policy
Our cancellation terms vary by rental type and timing. Cancellations closer to the rental date may incur higher fees or forfeiture of payments. Please review the specific terms provided at booking and on your invoice.
User Cancellations
Subject to specific deadlines and tiered fee structures based on rental type (property or vehicle) and days remaining before the reservation start date. Early cancellations receive more favorable terms.
SMH Cancellations
SMH reserves the right to cancel any booking due to unforeseen circumstances, unavailability, or terms violations. We will provide reasonable notice and offer alternative arrangements or a full refund.
Booking Modifications
Requests to modify dates, times, or other details are subject to availability and may incur additional charges. Some modifications may be treated as a cancellation and re-booking.

Legal Offer Agreement & Terms of Use
Formal Offer
This Agreement constitutes a formal legal offer by SMH Stay Solutions Inc. to provide Services to you. Your use of the Services constitutes your acceptance of this offer and creates a binding contract.
License to Use
SMH grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes only, in strict accordance with this Agreement.
Prohibited Activities
You agree not to engage in any activity that could harm, disable, overburden, or impair our Services. The following are expressly prohibited:
  • Unauthorized system access or hacking
  • Introduction of malicious code or malware
  • Fraudulent bookings or identity misrepresentation
  • Interference with other users' enjoyment of Services
  • Commercial subletting or resale of rentals
Liability & Disclaimers
Limitation of Liability
To the maximum extent permitted by law, SMH Stay Solutions Inc., its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenues, data, goodwill, or intangible losses — arising from your use or inability to use the Services, third-party conduct, or unauthorized access to your content.
Services Provided "As Is"
The Services are provided on an "as is" and "as available" basis. SMH makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. SMH does not warrant that Services will be uninterrupted, secure, or error-free.
Indemnification
You agree to indemnify, defend, and hold harmless SMH Stay Solutions Inc. and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Services, your violation of this Agreement, or your violation of any third-party rights.

Nothing in this Agreement limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence.
Governing Law & Dispute Resolution
This Agreement is governed exclusively by the laws of the State of Delaware, without regard to conflict of law principles.
Delaware Jurisdiction

Governing Law
All disputes arising out of or related to this Agreement and our Services shall be governed and construed in accordance with Delaware state law.

Exclusive Jurisdiction
You consent to the exclusive jurisdiction of state and federal courts located in Delaware for any legal proceedings between you and SMH.

Binding Arbitration
Disputes shall be settled by arbitration under AAA Commercial Arbitration Rules, administered in Delaware. Arbitration is mandatory prior to any litigation.
